1. Introduction

Welcome to AgenciesWP (“Company,” “we,” “our,” “us”). These Terms of Service (“Terms”) govern your use of our website located at https://agencieswp.com/ (the “Site”) and our WordPress plugin (“AgenciesWP Plugin,” “the Plugin”). By accessing the Site, purchasing a license, or using the Plugin, you agree to be bound by these Terms. If you do not agree, please do not use our services.

2. License Grant & Usage

Upon purchasing a valid license, we grant you a non-exclusive, non-transferable, worldwide license to use the AgenciesWP Plugin on the number of production websites specified in your chosen pricing plan (Single Site, Agency, or Unlimited). Each license is valid for one year from the date of purchase. After the license expires, you may continue to use the Plugin on active websites, but you will no longer receive updates, new features, or support.

You may not:

  • Redistribute, resell, or sublicense the Plugin without purchasing an Unlimited license with explicit written permission.
  • Modify, reverse engineer, or create derivative works based on the Plugin.
  • Use the Plugin on more websites than your license allows.
  • Remove any copyright or proprietary notices.

3. Payments, Renewals & No Refund Policy

All prices are listed in USD and exclude applicable taxes. By purchasing a license, you authorize us to charge the provided payment method. Licenses automatically renew annually unless canceled at least 24 hours before the renewal date.

No Refunds: Due to the digital nature of our products, all sales are final. We do not offer refunds or exchanges, even if the license is unused. You may cancel automatic renewals at any time from your account dashboard, but no prorated refunds will be issued for the remaining term.

4. Support Services

We provide support via email and ticketing system for active license holders. Support includes assistance with installation, basic troubleshooting, and questions about core features. Support does not include custom development, third-party plugin conflicts, or server configuration. Priority support (as listed in the Agency plan) includes faster response times (typically within 12 business hours) and a dedicated channel.

5. Updates & Plugin Behavior

We release updates to improve functionality, fix bugs, and ensure compatibility with the latest WordPress versions. The Plugin may communicate with our licensing server to validate your license key and check for updates. This communication sends non-sensitive data such as your site URL, PHP version, and active license status. No personal end-user data is collected without consent.

6. Ownership & Intellectual Property

The AgenciesWP Plugin, its code, design, documentation, and all associated intellectual property are owned exclusively by AgenciesWP. Your purchase grants a license to use the Plugin, not ownership. All trademarks, logos, and service marks displayed on our Site are our property.

7. Prohibited Use

You may not use the Plugin or Site for any unlawful purpose, including but not limited to:

  • Distributing malware, spam, or harmful code.
  • Violating any applicable laws or regulations.
  • Attempting to bypass license restrictions or security features.
  • Harassing, abusing, or harming others.

8. Termination

We may suspend or terminate your license and access to support if you violate these Terms. Upon termination, you must uninstall the Plugin from all websites. If you cancel your subscription, your license will remain active until the end of the current billing period, after which updates and support will cease.

9. Disclaimer of Warranties

The Plugin and Site are provided “as is” and “as available,” without any warranties of any kind, either express or implied. We do not warrant that the Plugin will be error-free, uninterrupted, or compatible with all third-party themes and plugins. You assume full responsibility for backing up your website before installing any updates.

10. Limitation of Liability

To the maximum extent permitted by law, AgenciesWP shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business interruption, arising from the use or inability to use the Plugin, even if we have been advised of the possibility of such damages. Our total liability shall not exceed the amount you paid for the license during the twelve months prior to the claim.

11. Indemnification

You agree to indemnify and hold AgenciesWP harmless from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from your violation of these Terms, misuse of the Plugin, or infringement of any third-party rights.

12. Governing Law & Dispute Resolution

These Terms shall be governed by applicable international laws and regulations. Any dispute arising from these Terms or your use of the Plugin shall first be attempted to be resolved through good-faith negotiation between the parties. If a resolution cannot be reached, disputes shall be settled through binding arbitration. Class actions are not permitted.

13. Changes to These Terms

We may update these Terms from time to time. The latest version will always be posted on this page with the “Last updated” date. Continued use of the Plugin or Site after changes constitute acceptance of the revised Terms.

14. Entire Agreement

These Terms, together with our Privacy Policy and any applicable license agreement, constitute the entire agreement between you and AgenciesWP regarding the use of the Plugin and Site.
